Agreement between Acme Corp and John Doe

This Agreement ("Agreement") is made effective as of June 11, 2024, by and between Acme Corp, a company organized and existing under the laws of Delaware, with its principal place of business at 123 Main Street, Anytown, USA ("Company"), and John Doe, an individual with a principal address at 456 Oak Avenue, Sometown, USA ("Developer").

Scope of Work:

Project Description: Developer agrees to provide software development services for Acme Corp's new e-commerce platform, as outlined in the attached project specifications document ("Project").

Services: Developer shall perform all services necessary to complete the Project in a professional and timely manner, including but not limited to:

Software design, development, testing, and implementation.
Regular progress updates and meetings with Company's designated representative.
Integration of feedback and requested changes.
Compensation:

Payment: Company agrees to pay Developer the sum of $10,000 for the completion of the Project. Payment shall be made in two installments as follows: 50% upon signing this Agreement and 50% upon successful completion of the Project.

Expenses: Developer shall be responsible for all expenses incurred in the course of performing the services, unless otherwise agreed upon in writing by both parties.

Intellectual Property:

Ownership: Company shall retain all rights, title, and interest in any intellectual property developed as part of the Project, including but not limited to software, code, designs, and documentation.

License: Developer grants Company a non-exclusive, worldwide, royalty-free license to use, modify, and distribute any deliverables created under this Agreement for Company's business purposes.

Term and Termination:

Term: This Agreement shall commence on June 11, 2024, and shall continue until the completion of the Project, estimated to be August 31, 2024, unless terminated earlier in accordance with this Agreement.

Termination: Either party may terminate this Agreement upon 30 days' written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within the notice period.

Confidentiality:

Confidential Information: Both parties agree to keep confidential all information exchanged during the term of this Agreement, including but not limited to proprietary information, trade secrets, and business strategies.
Independent Contractor Status:
Developer is an independent contractor and not an employee of Company. Developer is solely responsible for all taxes, insurance, and other obligations arising from this Agreement.

General Provisions:

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.

Entire Agreement: This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements and understandings, whether written or oral.

Negotiation:

Payment Terms: Developer may negotiate for a different payment schedule or additional compensation for extra services beyond the scope of the original agreement.

Intellectual Property Rights: Developer may negotiate for limited rights to use or showcase the developed software for portfolio purposes.

Delivery Timeframe: Developer may negotiate for an extension to the delivery deadline based on the complexity of the project.

Acceptance:
By signing below, the parties agree to be bound by the terms and conditions of this Agreement.
